1.
Interpretations 1.1 In these terms
and conditions the following definitions shall apply: (a) "TAL" shall mean
Tangerine Anvil Limited; (b) "the Client" shall mean the person(s), firm or company
engaging TAL; (c) "the
Managing Partners" shall mean Mike Probert and Mark Hicklin; (d) "the
Associates" shall mean those personnel representing TAL other than the Managing
Partners; (e) "the
Engagement" shall mean the period of time during which TAL is paid a fee to
provide certain services. 2. The Engagement 2.1 The Client shall engage TAL subject
to a letter of Engagement provided to the Client by TAL. 2.2 The Engagement shall be subject to
the terms and conditions set out below unless alternative terms and conditions
are agreed in the letter of Engagement. 2.3 Any additional contract clause shall only apply if
subsequently agreed in writing by TAL. 2.4 All oral communication between TAL and the Client shall be
confirmed in writing within the letter of Engagement. 3. TAL's Obligations TAL, its Managing Partners and Associates shall endeavour to
comply with all Engagement commitments but shall accept no liability for
failing to do so in circumstances beyond its control. 4. The Client's Obligations The Client shall ensure that all permissions and accesses
required by TAL, its Managing Partners and Associates are not
unreasonably withheld in the performance of the
Engagement. 5.
Payments 5.1 The Client shall not be liable for any costs or charges
whatsoever until such time as the Client has engaged TAL. 5.2 During the Engagement the Client
shall pay TAL such fees as outlined in the letter of Engagement. 5.3 Unless otherwise stated in the
letter of Engagement, the Client shall be liable to pay TAL the fee stated in
the letter of Engagement within 14 days of date of invoice.5.4 The Client shall be liable to pay
all reasonable expenses incurred by TAL, its Managing Partners or Associates,
in the performance of the Engagement. |

5.5 Any amount outstanding after 14 days or after such alternative
payment date otherwise stated in the letter of Engagement shall attract
interest at the rate of 5% per month until the full amount has been paid. Such
an interest charge shall be compounded at the end of each month. 5.6 TAL reserves the right to charge a
cancellation fee not exceeding the full value of the Engagement period.
5.7 If the Client defaults
in payment of any sum or sums payable to TAL under the Engagement for a period
of more than 90 days from the invoice date the directors of the company shall
upon written request from TAL pay such sum or sums as may be outstanding under
the Engagement. 5.8 In the
event of there being more than one signatory to the Client's Engagement of TAL, your obligations and
liabilities shall be construed and have effect as joint and several obligations
and liabilities. 5.9 The
Client shall pay Value Added Tax on the full invoice value. 6. Termination 6.1 TAL
may terminate the Engagement by written notice and reserves the right not to
enter into any further agreements under the following circumstances:
(a) The Client fails to pay
any charges later than 30 days from the invoice date; (b) the Client fails to observe any of
the conditions contained in the Engagement; (c) the Client declares himself Bankrupt, or goes into
Liquidation or has a Receiver appointed or is subject to a Receiving
order. 6.2 The termination
of the Engagement for any reason whatsoever, shall not affect the right of TAL
to recover any charge or monies or damages from the Client. 7. General 7.1 Any changes made to the terms and conditions of the Engagement
shall not affect the rights of TAL under these terms and conditions.
7.2 All invoices, notices,
demands or any communication from TAL to the Client shall be regarded as having
been properly delivered to the Client if posted by first class post or left at
the address of the Client as stated in the letter of Engagement and shall be
regarded as having been delivered the day after despatch. |
